Countersigned is a service of Hoss, Inc. Your documents stay yours. Use the service responsibly, sign only when you intend to, and keep a copy of your records. The full terms below govern your use of Countersigned.
About these terms
Countersigned is owned and operated by Hoss, Inc., the company that also owns and operates DocuPipe. These Terms and Conditions (“Terms”) are an agreement between you and Hoss, Inc. (“Hoss,” “we,” “us,” or “our”) covering your access to the Countersigned website, electronic-signature workspace, recipient signing pages, and related services (the “Service”).
By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you use Countersigned for an organization, you confirm that you have authority to accept these Terms for that organization; “you” then includes that organization. You must be at least 18 years old and legally able to enter into this agreement.
Our Privacy Statement explains how we handle personal information. Any separate written agreement signed by Hoss for Countersigned takes priority over these Terms to the extent of a conflict.
Accounts and access
Provide accurate account and recipient information, keep it current, and protect your credentials. You are responsible for activity you authorize through your account and for promptly reporting suspected unauthorized access to countersigned@docupipe.ai.
Recipients may review and sign through an invitation without creating an account. An invitation link can provide access to an agreement and its records. Keep links and access codes private, send them only to the intended people, and do not sign through another person’s invitation. Access to a link does not independently verify someone’s identity or authority.
Access may be limited to invited accounts during a pilot or early-access period. You may use the Service only through the access methods made available to you.
Your documents stay yours
You retain your rights in the documents, templates, attachments, signatures, and other materials you submit (“Your Content”). These Terms do not transfer ownership of Your Content to Hoss.
You authorize us and the service providers acting for us to host, copy, process, display, transmit, and retain Your Content as needed to provide and secure Countersigned, follow your instructions, deliver agreements to designated recipients, generate completed documents and signing records, and meet legal obligations. This permission continues only as necessary for those purposes, including applicable retention obligations.
We do not sell Your Content, use it for advertising, or use it to train artificial intelligence or machine learning models. Access by our personnel is limited to operating and supporting the Service, protecting it against abuse, and meeting legal requirements.
Sending and signing agreements
Countersigned helps people prepare, send, sign, and retain agreements. We are not a party to agreements between senders and recipients. We do not provide legal advice, review the legal effect of a document, verify a signer’s authority, or guarantee that a particular electronic signature meets every applicable requirement.
- Senders: confirm the document is complete, the recipient details and permissions are correct, and you have the rights, notices, consents, and lawful basis needed to upload and share it. Decide whether electronic signing is appropriate for the document and jurisdiction, including any identity, witness, notarization, delivery, or retention requirements.
- Signers: read the document and electronic-record disclosure, confirm you are the intended recipient and have authority to sign, and submit a signature only when you intend to sign. Contact the sender about document changes or an alternative signing method.
- All parties: download and keep copies of the completed agreement and completion record. You are responsible for meeting your own recordkeeping obligations and deadlines.
The electronic-record disclosure presented in the signing flow explains consent for that transaction. These Terms do not replace that disclosure. Declining to sign or asking the sender for a paper process does not itself cancel an existing agreement or obligation.
A completion record documents activity captured by Countersigned. It is not a notarization, independent identity check, qualified electronic signature, or certificate-backed digital seal. See the Trust Center for the scope of the signing evidence we provide.
Acceptable use and fair use
Use Countersigned lawfully and respect other people’s rights. You must not:
- Forge signatures, impersonate people, misrepresent signing authority, or send deceptive or unsolicited agreements.
- Upload or distribute malware, phishing content, unlawful material, or content that infringes privacy, intellectual property, or other rights.
- Harass recipients or our personnel, send spam, or use invitations as a bulk marketing channel.
- Attempt unauthorized access, bypass access controls or service limits, interfere with the Service, or access another person’s documents without permission.
- Use automation or excessive requests in a way that disrupts the Service or its availability to other users.
The Free plan includes up to 10 envelopes and 10 AI credits per month, free forever. Pro is $20 per month for 200 envelopes and 200 AI credits per month; Enterprise plans are arranged individually. See Pricing for plan features and availability. File-size, page, recipient, field, storage, and technical limits may apply. We may restrict activity that is abusive or threatens service reliability. A free plan does not promise unlimited computing capacity or permanent storage.
Report suspected abuse or a disputed invitation to countersigned@docupipe.ai. Include the sender and agreement reference where possible, and avoid sending passwords, access codes, or live signing links.
Privacy and security
You are responsible for choosing what information to upload and whom to share it with. The sender, designated recipients, and others they choose to share with may receive copies of an agreement and its signing evidence. We cannot recall copies already downloaded or distributed by those parties.
Our Privacy Statement describes information collection, service providers, retention, and privacy requests. Our Trust Center describes security controls and their scope. No service can guarantee absolute security.
Do not use Countersigned for information that requires a specific contractual or regulatory safeguard, such as a business associate agreement for protected health information, unless Hoss has expressly agreed in writing to provide that safeguard for Countersigned.
Retention, export, and deletion
Download the agreements and records you need while you have access. Countersigned is not a permanent archive, and these Terms do not guarantee a fixed storage period, perpetual access, or recovery of deleted or unavailable data.
Moving an agreement to Deleted in your workspace hides it from your normal list and allows restoration. It does not permanently erase stored documents, signatures, signing history, or copies available to other authorized parties.
To request account closure or permanent deletion, contact privacy@docupipe.ai and identify Countersigned. We may need to verify your identity and coordinate with the sender or organization responsible for the agreement. Retention may be necessary to meet legal obligations, preserve another party’s rights, resolve disputes, or protect against fraud. The Privacy Statement explains these considerations.
DocuPipe and other services
Countersigned and DocuPipe have the same owner, Hoss, Inc.. DocuPipe is a separate document-processing service with its own terms and privacy notices. Following a DocuPipe link does not transfer your Countersigned agreements, create a DocuPipe account, or connect your accounts.
AI examples on the Countersigned website use illustrative data. Features described as previews or planned are not a promise that they are available or will be released. Any future document transfer or integration will explain the action and applicable terms before you choose to use it.
Other linked services are governed by their own terms. You decide whether to use them.
Our intellectual property
Hoss and its licensors retain rights in Countersigned software, designs, website content, trademarks, and other service materials, excluding Your Content. While you comply with these Terms, we give you a limited, non-exclusive, non-transferable right to access and use the Service for its intended purpose.
You may not copy, resell, or misrepresent the Service or use our branding in a way that implies endorsement without permission, except as permitted by law. If you send voluntary feedback, we may use it to improve Countersigned without obligation or compensation; this does not grant us additional rights in your documents.
Changes, suspension, and closure
We may change features, impose reasonable technical limits, or suspend access to address violations, security issues, legal requirements, or operational needs. Where reasonably possible, we will provide notice of a material reduction or discontinuation and an opportunity to export your documents. Immediate restrictions may be necessary to prevent harm or comply with law.
You may stop using Countersigned at any time and request account closure. Sections that by their nature should continue, including ownership, lawful retention, disclaimers, liability, and dispute provisions, survive closure.
Pilot, beta, and preview features may be incomplete, change, or be withdrawn. We do not promise uninterrupted service, particular delivery times, or that an invitation will reach its intended recipient. Any future paid offering will have pricing and terms presented before you incur a charge.
Disclaimers
To the extent permitted by applicable law, the Service is provided “as is” and “as available.” Hoss disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, continuously available, or suitable for every document, legal requirement, or business process.
Nothing in these Terms excludes warranties or consumer protections that cannot lawfully be excluded.
Liability and third-party claims
To the extent permitted by law, Hoss and its affiliates, officers, employees, and service providers will not be liable for indirect, incidental, special, consequential, or punitive losses, or lost profits, revenue, goodwill, or business opportunities arising from use of or inability to use Countersigned.
These limitations do not exclude liability for fraud, willful misconduct, gross negligence, or any liability that applicable law does not allow us to limit. Your mandatory statutory rights remain unaffected.
If you use Countersigned on behalf of a business, that business agrees, to the extent permitted by law, to indemnify Hoss for third-party claims and reasonable costs arising from its unlawful content, infringement of another party’s rights, or misuse of the Service in breach of these Terms. This obligation does not apply to claims caused by Hoss’s own breach or misconduct. We will notify you of a claim and reasonably cooperate in its defense.
Governing law and disputes
Please contact privacy@docupipe.ai about a dispute so we can try to resolve it. These Terms are governed by New York law, excluding its conflict-of-laws rules. Unless applicable law requires otherwise, disputes relating to these Terms or Countersigned will be brought in state courts in New York County, New York, or the United States District Court for the Southern District of New York, and each party consents to those courts’ jurisdiction.
If you are a consumer, mandatory protections and rights to bring proceedings in your home jurisdiction continue to apply where required by law.
Updates and general provisions
We may update these Terms as Countersigned changes. The effective date appears above. We will provide notice of material changes through the Service or another appropriate channel and seek acceptance where required by law. Continued use after revised Terms take effect constitutes acceptance to the extent permitted by law.
These Terms and any applicable written Countersigned agreement form the agreement concerning your use of the Service. If a provision is unenforceable, the remaining provisions continue to apply. Failure to enforce a provision is not a waiver. You may not assign your rights under these Terms without our consent; Hoss may assign them as part of a merger, reorganization, or transfer of the Service, subject to applicable law and privacy obligations.
